These Travel Agency Terms and Conditions (“Terms”) govern the relationship between Walnut Lane Partners LLC dba Walnut Lane Travel (“Agency,” “we,” “our,” or “us”) and any individual or entity (“Traveler,” “you,” or “your”) who books, purchases, or participates in travel arrangements or related services coordinated by the Agency. By booking travel services through the Agency, you agree to be bound by these Terms. Please review this document carefully before confirming your reservation. 

  • Definitions.

    • Traveler: Any individual or entity who books or participates in travel services arranged by the Agency, including individuals traveling independently or as part of a group.

    • Supplier(s): Third-party providers including, without limitation, airlines, hotels, cruise lines, tour operators, transportation companies, insurance providers, and other independent contractors who supply travel-related products or services

    • Travel Services: All travel planning, booking, consulting, and coordination services provided by the Agency, including without limitation, flights, accommodations, tours, transportation, insurance, excursions, and related travel arrangements.

    • Booking: A confirmed reservation for travel services, whether paid in full or in part.

  • Description of Services.  The Agency provides professional travel planning and coordination services to help clients research, organize, and complete travel arrangements suited to their interests, preferences, and budget. Our services may include, but are not limited to, destination recommendations, itinerary design, coordination of flights, hotels, transportation, excursions, and cruises, as well as assistance with visas, entry requirements, and other travel-related needs.

    While the Agency strives to deliver a seamless travel experience, many travel components depend on independent Suppliers. The Agency acts solely as an intermediary between Travelers and Suppliers and cannot guarantee the performance or quality of any third-party service. All travel arrangements are subject to the terms and conditions of the applicable Suppliers, which may include separate contracts, payment schedules, and cancellation policies.

  • Booking Confirmation & Acceptance of Terms.  A booking is considered confirmed once the required deposit or full payment is received and processed by the Agency. By submitting payment, you acknowledge that you have read, understood, and agreed to these Terms. Travelers must review all booking confirmations and invoices upon receipt and immediately report any discrepancies or errors. Failure to do so may result in additional fees or the inability to make corrections later. The Agency reserves the right to cancel or refuse service to anyone who fails to comply with these Terms or with Supplier requirements.

  • Deposits & Payments.  A non-refundable deposit, in the amount specified at the time of booking, is required to initiate reservations. Deposits are used to secure Supplier arrangements and cover administrative costs. Unless otherwise stated in writing, deposits are non-refundable and non-transferable.

     Final payment is due by the date specified on the Traveler’s invoice. Reservations made after the final payment deadline require payment in full at the time of booking. Accepted payment methods include those specified by the Agency, such as credit card, wire transfer, or check. Returned checks, declined payments, or chargebacks may result in cancellation and additional fees.

     Failure to pay by the deadline may result in cancellation of reservations, forfeiture of prior payments, and applicable penalties as determined by Suppliers. Travelers agree not to initiate chargebacks for properly charged amounts.

  • Agency Service Fee. The Agency provides professional travel planning, advisory, booking, and coordination services, and may charge service fees for these efforts. Agency service fees compensate for time, expertise, research, and administrative work performed in designing customized itineraries, securing reservations, and providing client support before, during, and after travel. These fees are separate from and in addition to the costs charged by Suppliers such as airlines, hotels, cruise lines, or tour operators.

    The amount and structure of agency service fees vary depending on the complexity of the trip, the number of travelers, and the level of professional services required. Fees may be assessed as flat-rate planning fees, hourly consultation fees, booking or change fees, or per-reservation service charges, and will be disclosed to the Traveler prior to initiating arrangements.

    All agency service fees are non-refundable once charged, regardless of whether the Traveler proceeds with booking, cancels the trip, modifies travel dates, or becomes entitled to a Supplier refund or credit. The Traveler acknowledges that these fees are earned in full at the time of service and are not contingent upon the actual completion of travel.

    In certain cases, the Agency may charge additional administrative fees for complex modifications, last-minute changes, after-hours assistance, or handling of third-party credits and refunds. Travelers will be informed of any such fees in advance whenever possible. The Agency reserves the right to withhold release of itineraries, confirmations, or travel documents until all outstanding fees have been paid in full.

    The Agency may receive commissions, incentives, or other compensation from Suppliers. The total price charged may not reflect the individual retail cost of each component and may include margin retained by the Agency.

    By engaging the Agency’s services, the Traveler agrees to the fee structure as communicated at the time of booking and acknowledges that these fees are an essential component of the professional service relationship between the Traveler and the Agency.

  • Pricing, Inclusions, & Exclusions. All travel pricing provided by the Agency is based on the rates and information available at the time of quotation. Prices are derived from Supplier rates, exchange rates, fuel costs, taxes, and surcharges in effect at that time, and are subject to change without notice until final payment is received and the booking is confirmed in full. While the Agency strives to provide accurate and stable pricing, fluctuations may occur in currency exchange rates, Supplier costs, or government-imposed fees, which may result in price adjustments prior to final payment. Should a price increase occur, the Agency will notify the Traveler as soon as reasonably possible, and the Traveler will have the option to accept the revised pricing or cancel their booking subject to applicable cancellation policies.

    Unless expressly stated in the booking confirmation or itinerary, published prices are based on double occupancy and include only the services and amenities specifically itemized in writing. Items typically included may consist of lodging, transportation, certain meals, guided tours, or other services arranged by the Agency. The Agency’s quotations do not include expenses of a personal nature or any items not specifically identified in the package description. Examples of excluded items include, but are not limited to, optional excursions, meals not stated in the itinerary, alcoholic beverages, minibar charges, room service, laundry, telephone calls, tips and gratuities (unless stated otherwise), baggage handling fees, travel insurance premiums, passport and visa costs, vaccinations, health documentation, airport departure taxes, or additional nights of accommodation beyond those booked.

    Travelers are advised that special requests such as room upgrades, seat assignments, or specific meal preferences are subject to Supplier availability and may incur additional charges. The Agency makes every reasonable effort to communicate and facilitate such requests but cannot guarantee fulfillment by the Supplier. Travelers are also responsible for reviewing their invoices to ensure that all services and inclusions are accurate prior to making final payment. Once full payment has been received, changes may not be possible without incurring additional fees or Supplier-imposed penalties.

    In the event of typographical or clerical errors in pricing or package details, the Agency reserves the right to correct such errors and reissue the invoice or confirmation with the accurate information. Travelers will be notified of any correction as soon as reasonably possible and will have the option to either proceed under the corrected terms or cancel subject to any applicable cancellation policies.

  • Taxes & Government Fees.  All travel services are subject to applicable taxes, fees, and government-imposed surcharges, which vary by destination and type of service. These may include, but are not limited to, federal, state, or local sales tax; occupancy tax; airport departure fees; port charges; customs duties; tourism levies; environmental or sustainability fees; and value-added tax (VAT). Because such charges are established by governments or Suppliers and may change at any time without prior notice, the Agency cannot guarantee exact amounts at the time of booking.

    Travelers acknowledge and agree that any increase in taxes, levies, or fees imposed after booking but before travel may result in an increase to the total trip cost. If such adjustments occur prior to the date of final payment, Travelers will be notified and given an updated invoice. Failure to remit payment for the difference by the due date may result in cancellation of reservations without refund.

    In certain destinations, additional fees may be payable directly to local authorities or hotels upon arrival or departure, such as city taxes or resort fees. These amounts are typically not included in the booking total and remain the sole responsibility of the Traveler. The Agency will make reasonable efforts to advise Travelers of such potential costs in advance, but ultimate responsibility rests with the Traveler to inquire about and pay any additional local charges that may apply.

    Travelers further acknowledge that in the event of refund processing or cancellations, applicable taxes may not always be recoverable depending on Supplier or government regulations. The Agency shall not be held responsible for any non-refundable tax portions or any errors in third-party tax calculations.

  • Air Travel. Air travel arrangements included in the trip are subject to the terms and conditions of the airlines, including baggage policies, seating assignments, schedule changes, and cancellations. Travelers are responsible for complying with all airline rules, regulations, and security requirements, including check-in times, carry-on restrictions, and required identification. The Agency is not responsible for flight delays, cancellations, lost or damaged baggage, or other issues that may arise from airline operations. Any additional costs incurred due to changes in flight schedules, personal requests, or travel disruptions are the responsibility of the traveler. Travelers are strongly encouraged to review airline policies and maintain flexibility in their travel plans.

  • Changes by Traveler.  Requests to change, revise, or transfer reservations must be submitted to the Agency in writing. The Agency will make every reasonable effort to accommodate such requests but cannot guarantee approval, as all changes are subject to Supplier availability, pricing, and applicable penalties. Examples of change requests include, but are not limited to, name corrections, date modifications, upgrades, substitutions, or itinerary adjustments.

    Each approved change may result in additional charges imposed by the Supplier or administrative fees assessed by the Agency. Travelers are responsible for promptly paying all associated costs to avoid cancellation or disruption of their travel arrangements. In some cases, changes may void existing promotional fares or discounts and may result in a higher total trip cost.

    If a Traveler wishes to substitute another person for their reservation, the Agency will process the request only if permitted by the relevant Suppliers and if all documentation and payment requirements are met. The Agency is not responsible for any losses, additional expenses, or disruptions resulting from a Traveler’s failure to comply with these requirements.

  • Cancellations by Traveler and Refunds. All cancellations must be submitted in writing by the Traveler. The effective date of cancellation is the date the written notice is received by the Agency. Because each Supplier maintains its own cancellation policy, the Agency must strictly adhere to their terms, and refunds are not guaranteed once payments have been made. Unless otherwise stated in writing, the following general cancellation schedule applies:

    • More than 60 days prior to departure = forfeiture of deposit(s);

    • 30-60 days prior to departure = 50% of total trip cost plus forfeited deposits;

    • Fewer than 30 days prior to departure = 100% of total trip cost, non-refundable.

    Certain services such as airline tickets, cruise fares, or special event packages may be entirely non-refundable once issued, regardless of the date of cancellation. No refunds will be granted for unused services, voluntary changes, missed flights, or early departures. Travelers acknowledge that processing times for refunds depend on the policies and response times of third-party Suppliers and may take up to 90 days or more.

    In the event of cancellation, the Traveler remains responsible for any outstanding balance due to the Agency or Suppliers. If applicable, refund amounts will be limited to funds actually recovered by the Agency from Suppliers, less administrative or processing fees. The Agency is not responsible for delays in refund issuance or for any non-refundable components.

  • Agency Right to Cancel for Traveler Non-Compliance. The Agency reserves the right to cancel any Booking, in whole or in part, if the Traveler fails to make required payments when due, breaches these Terms, provides false or incomplete information, or engages in conduct that the Agency reasonably deems improper, unlawful, or disruptive. In such cases, all amounts paid (including deposits and service fees) shall be forfeited, and the Traveler shall remain responsible for any outstanding balances, cancellation fees, or Supplier penalties incurred as a result of the cancellation. The Agency shall have no further liability or obligation to the Traveler arising from such termination.

  • Changes and Other Cancellations by Agency or Suppliers. The Agency reserves the right to modify, substitute, or cancel itineraries, accommodations, transportation, excursions, or other trip components when necessary due to circumstances beyond its reasonable control. Such circumstances may include, but are not limited to: Supplier actions or failures, force majeure events, safety or security concerns, weather conditions, government regulations, operational issues, insufficient participation, or errors in pricing or availability that materially affect the viability of the trip or Booking. While reasonable efforts will be made to provide notice and alternatives of similar value, published itineraries are not guaranteed. Any extra costs from such changes are the Traveler’s responsibility, and the Agency is not liable for inconvenience, expenses, or alterations.

    If a significant change occurs prior to departure, the Agency will make reasonable efforts to notify Travelers and provide one or more of the following options:

    • Accepting the revised arrangements;

    • Selecting alternative services or accommodations (subject to availability and price differences); or

    • Canceling the reservation with a refund of amounts actually paid, less all non-refundable deposits and any unrecoverable costs or penalties imposed by Suppliers.

    If the Agency or Supplier cancels a confirmed booking (for reasons other than Traveler non-payment, failure to comply with deadlines, or other breach of these Terms) it will notify the Travelers as soon as reasonably possible. In such cases, the Agency may, at its discretion, offer one or more of the following remedies:

    • Transfer of payments to an alternate trip of comparable value (subject to availability and price differentials); or

    • Refund of recoverable payments.

    For clarity, if the Agency cancels a reservation due to non-payment, failure to meet deadlines, or other non-compliance with tor breach of these Terms, then to the extent permitted by applicable law, Travelers will not be entitled to any refund, credit, or alternative arrangements, and all amounts paid (including deposits) will be forfeited in accordance with the Section above.

    The Agency shall not be liable for any additional expenses, damages, or losses incurred as a result of changes or cancellations, including but not limited to airfare, passport or visa costs, travel insurance premiums, vaccinations, or any other non-refundable personal expenses. Any refund, credit, or alternative arrangement offered by the Agency constitutes full and final settlement of its obligations arising from such change or cancellation.

    In situations where a Supplier ceases operations or becomes insolvent, the Agency will make reasonable efforts to assist the Traveler in securing alternative arrangements or filing insurance or credit claims, but it does not assume liability for Supplier defaults or financial losses beyond amounts actually recovered.

  • Refunds and Reimbursement.  Refunds for any portion of a trip or Booking are strictly governed by these Terms, Supplier contracts, and the Agency’s policies.  If a refund is permitted under these Terms, the amount reimbursed will be limited to sums actually recovered from Suppliers and paid to the Agency, less any non-refundable deposits, fees, or other costs incurred. The Agency shall not be liable for indirect, consequential, or incidental losses arising from refunds, including but not limited to airfare, travel insurance premiums, visa fees, personal expenses, or other costs paid in reliance on the trip.

    Refunds (if and when applicable) will be processed to the individual or entity who made the payment. Travelers acknowledge that processing times may vary depending on Supplier response and Agency administration, and that delays in refund issuance are not the responsibility of the Agency.

  • Traveler Responsibilities.  Each Traveler bears full responsibility for understanding and complying with all requirements necessary for participation in travel arrangements. This includes, but is not limited to, obtaining valid passports, visas, health certificates, vaccinations, and any other documentation required by the countries visited. Travelers must ensure that their passports are valid for at least six (6) months beyond the planned date of return and contain sufficient blank pages for visas and entry stamps. The Agency may provide general information or guidance but assumes no responsibility for advising on or securing travel documentation on behalf of the Traveler.

    Travelers are responsible for reviewing all travel documents and itineraries provided by the Agency to verify accuracy and completeness. Any discrepancies, spelling errors, or omissions must be reported immediately. The Agency is not liable for any issues, additional costs, or denied boarding resulting from inaccurate or incomplete information provided by the Traveler.

    Travelers must conduct themselves in a manner that respects local laws, customs, and the safety of others. Abusive, unlawful, or disruptive behavior may result in removal from the trip at the Traveler’s expense, without refund. The Agency reserves the right to refuse or terminate services if a Traveler’s conduct endangers others, disrupts operations, or violates these Terms. In such cases, the Traveler will be solely responsible for any resulting damages, fines, or costs, including additional transportation or lodging expenses.

    It is also the responsibility of each Traveler to ensure timely arrival at all departure points, including airports, train stations, tour meeting locations, and excursions. The Agency is not responsible for missed connections, late arrivals, or any portion of the trip forfeited as a result of a Traveler’s delay or failure to appear on time. Travelers are strongly encouraged to reconfirm flight details directly with airlines and to allow adequate time for security, customs, and check-in procedures.

    Travelers are responsible for all personal expenses, including but not limited to optional excursions, meals not included in the itinerary, baggage fees, medical costs, or emergency transportation.

  • Travel Insurance.  Travelers are strongly encouraged, and in some cases required, to obtain comprehensive travel insurance covering trip cancellation, trip interruption, medical emergencies, evacuation, lost or delayed baggage, and travel delays. Insurance is recommended for all Travelers to mitigate financial loss arising from unforeseen events, including but not limited to illness, injury, natural disasters, political unrest, Supplier insolvency, or personal emergencies.

    The Agency may provide information regarding recommended insurance providers or policies, but Travelers are responsible for selecting, purchasing, and maintaining insurance coverage suitable to their individual needs. Travelers acknowledge that failure to obtain adequate insurance may result in financial liability for costs that would otherwise be covered, and that the Agency shall have no liability for any uninsured loss, damage, or expense. Proof of insurance may be required prior to departure, and Travelers must comply with all policy requirements to ensure coverage. The Agency is not an insurance provider and does not guarantee coverage. Any information provided is for convenience only. 

  • Health, Safety, and Special Needs.  Travelers must disclose all relevant medical conditions, mobility limitations, allergies, dietary restrictions, or other special needs at the time of booking. The Agency will make reasonable efforts to accommodate such requests; however, Travelers acknowledge that not all accommodations or services can be guaranteed, and some activities may not be suitable for all participants. The Agency complies with applicable accessibility laws but cannot guarantee that all destinations, accommodations, or services will be fully accessible.

    Travelers are solely responsible for ensuring they are physically and mentally fit for the activities included in the itinerary. This includes, without limitation, adherence to any safety instructions, health advisories, or vaccination requirements provided by the Agency or governmental authorities. The Agency shall not be responsible for illness, injury, medical emergencies, or death resulting from participation in the trip, including any activities, excursions, or Supplier services.

    All Travelers are responsible for carrying and managing their own medications and medical devices, including ensuring adequate supply for the entire duration of the trip. It is advisable to carry essential medications in original containers with appropriate labeling and documentation. Travelers should also plan for contingencies such as travel delays, loss of medication, or medical emergencies. Travelers should consult their physician and the Centers for Disease Control and Prevention (CDC) or the World Health Organization (WHO) for guidance on vaccinations and health precautions for their destination.

    The Agency shall not be liable for any injury, illness, allergic reaction, medical emergency, or death arising from or occurring during travel. Any required medical care, hospitalization, or evacuation is the sole responsibility of the Traveler, who is advised to ensure adequate insurance coverage for such contingencies.

  • International Travel Requirements.  Travelers participating in international travel are solely responsible for ensuring they meet all legal, health, and entry requirements for each destination. This includes, but is not limited to, maintaining a valid passport with sufficient validity beyond the planned return date, obtaining any required visas, travel authorizations, or permits, and complying with all customs, immigration, and security regulations. Travelers must also comply with any destination-specific health requirements, including mandatory vaccinations, immunizations, or health screenings.

    The Agency may provide guidance or information regarding international travel requirements; however, it is the Traveler’s responsibility to verify and comply with all requirements independently. Failure to obtain proper documentation or meet entry requirements may result in denied boarding, fines, quarantine, or other legal consequences, and the Agency shall not be liable for any resulting delays, cancellations, or financial losses.

    Travelers are responsible for any additional costs incurred as a result of failure to meet international requirements, including rebooking fees, accommodation, transportation, or other expenses. The Agency recommends that all Travelers review official government travel advisories and confirm requirements well in advance of departure.

  • State Department, CDC, & Other Agencies Travel Advisories and Warnings. Travelers are responsible for reviewing and understanding all travel advisories, warnings, or alerts issued by the U.S. Department of State, Centers for Disease Control and Prevention (CDC), or other relevant governmental agencies for destinations included in the trip. The Agency strongly encourages travelers to register with the U.S. Smart Traveler Enrollment Program (STEP) prior to departure. Travelers acknowledge that the Agency is not responsible for delays, cancellations, additional costs, or other consequences resulting from travel advisories or warnings. Participation in the trip is at the Traveler’s own risk in the event that such advisories or warnings are issued before or during travel.

  • U.S. Travelers and REAL ID Requirements. All U.S. citizens are responsible for ensuring they carry valid government-issued identification that meets federal travel requirements. As of May 7, 2025, travelers need a REAL ID-compliant driver’s license or state-issued identification, or an acceptable alternative such as a valid U.S. passport, to board federally regulated commercial flights. The Agency is not responsible for denied boarding or other travel disruptions caused by a traveler’s failure to possess proper identification. Travelers are strongly encouraged to verify their ID’s compliance well in advance of departure.

  • Electronic Travel Authorization (ETA) / European Travel Information and Authorization System (ETIAS). Travelers are responsible for obtaining all required travel authorizations prior to departure, including Electronic Travel Authorizations (ETA) for certain countries and the European Travel Information and Authorization System (ETIAS) for entry into Schengen Area countries. These authorizations are mandatory and are designed to screen travelers before they arrive in the destination country. Failure to obtain the required authorization may result in denied boarding, refusal of entry, or other travel disruptions. The Agency is not responsible for any delays, cancellations, additional costs, or other consequences that arise from a traveler’s failure to secure the proper authorization. Travelers should apply for these authorizations well in advance of their trip, carefully follow the instructions, and ensure all information provided is complete and accurate.

  • Minors Traveling. Travelers under the age of 18 (minors) must be accompanied by a parent or legal guardian unless prior written authorization is provided by the parent or guardian. Minors may be required to present additional documentation, including a notarized letter of consent to travel, custody documentation, or proof of guardianship, depending on the destination country’s entry requirements. The Agency is not responsible for any delays, denied boarding, or travel disruptions resulting from incomplete or missing documentation for minors. Parents and guardians are solely responsible for ensuring that minors meet all identification, passport, visa, and other entry requirements, as well as for supervising and caring for minors throughout the trip.

  • Photography and Media Release. By participating in the travel arrangements organized by the Agency, travelers grant the Agency and its affiliates the right to take and use photographs, video recordings, and other media capturing their participation in trip activities for promotional, marketing, educational, or other lawful purposes. This may include, but is not limited to, use on websites, social media, brochures, advertisements, or other publications.

    Travelers acknowledge and agree that they will not receive any compensation or royalties for the use of such media and that all rights to the media remain the property of the Agency. Travelers who do not wish to be photographed or recorded must notify the Agency in writing prior to the trip; however, the Agency cannot guarantee that all media in which the traveler appears can be excluded from public or internal use.

    Additionally, travelers grant permission for the Agency to share images or recordings with other trip participants for personal, non-commercial purposes, such as group photo albums or digital communication among travelers.

  • Accuracy. While we make every effort to ensure that all information, descriptions, and prices on our website, brochures, and other promotional materials are accurate, errors or changes may occasionally occur. The Agency reserves the right to correct any inaccuracies or update prices, availability, or other details at any time without prior notice. Travelers are responsible for verifying the current prices, terms, and other details of the travel arrangements before confirming a booking. The Agency will not be liable for errors or omissions attributable to the Traveler, and any necessary amendments to a confirmed booking may be subject to applicable change or amendment fees. If a price or detail on a booking confirmation, website, brochure, or promotional material is clearly incorrect, the booking may be deemed invalid, and the Agency reserves the right to cancel the booking or offer the option to pay the corrected price.

  • Force Majeure.  The Agency shall not be held liable for any failure, delay, or disruption in providing travel services resulting from circumstances beyond its reasonable control, including but not limited to acts of God, natural disasters, weather events, pandemics, epidemics, terrorism, war, civil unrest, strikes, labor disputes, government actions or restrictions, transportation delays, or other emergencies (collectively, “Force Majeure Events”).

    In the event of a Force Majeure Event, the Agency may, at its discretion, modify, postpone, or cancel the Booking or any part of the trip or itinerary. The Agency will make reasonable efforts to communicate changes and provide alternative arrangements of comparable value where feasible. Travelers acknowledge that costs associated with rescheduling, alternative accommodations, transportation, meals, or activities due to a Force Majeure Event are their responsibility, except to the extent recoverable from Suppliers.

    Force Majeure shall not relieve Travelers of their obligations to make payments due under this Agreement, nor shall it entitle Travelers to any refund beyond amounts actually recoverable from Suppliers. By making a Booking or participating in a trip arranged by the Agency, Travelers acknowledge and accept that participation is subject to risks associated with Force Majeure Events and agree that the Agency shall not be liable for any losses, expenses, or inconveniences arising from such events.

  • Electronic Communications. By providing contact information, including email addresses and phone numbers, Travelers consent to receive communications from the Agency regarding their trip, including booking confirmations, itineraries, updates, alerts, and promotional materials. Such communications may be sent via email, text message, phone call, or other electronic means.

    Travelers acknowledge that electronic communications may not always be secure and that the Agency is not responsible for any interception, loss, or unauthorized access to messages. Travelers are responsible for ensuring that their contact information is accurate, current, and capable of receiving electronic communications.

    The Agency may also use electronic communications for administrative purposes, including sending invoices, receipts, travel reminders, and other notices relevant to the traveler’s booking. Travelers may update their communication preferences or unsubscribe from marketing messages at any time, but essential travel-related notifications will still be sent to ensure proper management of the Booking or trip.

  • Data Protection. The Agency collects, processes, and stores personal information provided by Travelers for the purposes of booking, managing, and delivering travel arrangements, as well as for communications related to the trip. Personal information may include, but is not limited to, names, contact details, passport information, payment information, and any special requirements or preferences disclosed by the Traveler.

    The Agency is committed to protecting Travelers’ privacy and handling personal data in accordance with applicable data protection laws and regulations. Information provided by travelers will be used solely for legitimate business purposes, including trip administration, emergency contact, regulatory compliance, and marketing communications, where consent has been provided.

    Travelers acknowledge and consent that their personal information may be shared with third-party service providers, suppliers, and government authorities when necessary to facilitate travel arrangements, comply with legal obligations, or ensure safety and security during the trip.

    The Agency implements reasonable technical and organizational measures to protect personal information against unauthorized access, loss, or misuse. Travelers are responsible for providing accurate and complete information and for promptly updating the Agency regarding any changes to their personal data.

    By providing personal information to the Agency, travelers consent to its collection, use, storage, and disclosure in accordance with this policy. For further information on how the Agency handles personal data, including travelers’ rights regarding access, correction, or deletion of personal information, travelers may contact the Agency directly.

  • Indemnification. The Traveler agrees to indemnify, defend, and hold harmless the Agency, its officers, employees, agents, and affiliates from and against any and all claims, demands, liabilities, losses, damages, fines, penalties, costs, or expenses, including reasonable attorneys’ fees and court costs, arising out of or relating to the Traveler’s actions or omissions, which include but are not limited to:

    • The Traveler’s breach of these Terms;

    • The Traveler’s failure to comply with any law, regulation, or Supplier policy;

    • Personal injury, property damage, or other harm caused by the Traveler’s acts, omissions, or negligence; or

    • Any misrepresentation or inaccuracy in information provided to the Agency.

    This includes, without limitation, any injury, illness, death, property damage, or other loss sustained by any Traveler, participant, or third party during or in connection with the trip.

    This obligation applies to all claims brought by third parties, including Suppliers, government agencies, or other Travelers, arising out of or related to the Traveler’s conduct or participation in travel arrangements. The Traveler’s duty to indemnify shall survive completion, cancellation, or termination of any Booking or agreement with the Agency. Travelers acknowledge and agree that the Travel Agency is not responsible for the acts, omissions, or negligence of any Supplier, third-party provider, or participant, and that participation in the trip involves inherent risks that are voluntarily assumed by each Traveler.

  • Severability. If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall remain in full force and effect to the maximum extent permitted by law.

  • No Waiver.  The failure of either party to this Agreement to insist upon the performance of any of the terms and conditions of this Agreement, or the waiver of any breach of any of the terms and conditions of this Agreement, will not be construed as subsequently waiving any such terms and conditions, but the same terms will continue and remain in full force and effect.

  • Governing Law. This Agreement and any disputes arising out of or relating to the Booking, trip, these Terms, or the services provided by the Agency shall be governed by and construed in accordance with the laws of the state in which the Agency is headquartered, without regard to its conflict of law principles.

  • Arbitration and Dispute Resolution. Any dispute, claim, or controversy arising out of or relating to these Terms, the services provided, or the travel arrangements booked through the Agency shall be resolved through binding arbitration administered by the American Arbitration Association (AAA) in accordance with its Commercial Arbitration Rules. The arbitration shall take place in the state where the Agency is headquartered. Each party shall bear its own legal costs. Judgment on the award rendered by the arbitrator may be entered in any court of competent jurisdiction. By agreeing to these Terms, Travelers waive their right to trial by jury and to participate in class actions against the Agency.

  • Notices.  All notices, requests, demands, and other communications under this Agreement shall be in writing and shall be deemed duly given (i) when delivered personally, (ii) when sent by confirmed email to the address provided by the Traveler or the Agency, (iii) when delivered by nationally recognized overnight courier, or (iv) three (3) business days after being sent by certified or registered mail, return receipt requested, postage prepaid, to the addresses provided at the time of booking. It is the responsibility of each Traveler to keep the Agency informed of any changes to their contact information.

  • Disclaimer, Limitation of Liability, and No Warranties. The Agency acts solely as an intermediary and booking agent for independent third-party Suppliers, including but not limited to airlines, hotels, cruise lines, transportation companies, excursion operators, insurance providers, and other service vendors. All travel services arranged by the Agency are subject to the terms, conditions, and limitations of the applicable Suppliers. The Agency does not own, operate, control, or manage any of these Suppliers and assumes no responsibility or liability for their acts, errors, omissions, delays, defaults, insolvency, performance, or failure to perform.

    Travel inherently involves risks, including but not limited to illness, injury, death, property loss, force majeure events, and disruption to itineraries. By booking travel through the Agency, each Traveler voluntarily assumes all such risks and agrees that participation in the trip is at their own risk. Travelers remain solely responsible for ensuring they have proper documentation (passports, visas, vaccinations, health clearances, etc.) and that they are fit to travel. The Agency shall not be held liable for denial of entry, missed flights, lost baggage, medical expenses, or any other losses resulting from a Traveler’s failure to meet requirements.

    To the fullest extent permitted by law, the Agency’s total liability for any claims, losses, damages, or expenses arising out of or in connection with these Terms, the Booking, trip, or the services provided shall be strictly limited to the total amount actually paid to the Agency by Travelers for the affected Booking, trip, or services. In no event shall the Agency be liable for any indirect, incidental, consequential, special, punitive, or exemplary damages, including but not limited to lost time, lost enjoyment, emotional distress, or additional expenses incurred due to changes, cancellations, or disruptions beyond the Agency’s reasonable control.

    The Agency makes no warranties, representations, or guarantees, express or implied, regarding the services provided under these Terms or the outcome of any Booking or trip. This includes, without limitation, any warranty of merchantability, fitness for a particular purpose, or non-infringement. While the Agency will use reasonable efforts to coordinate and facilitate travel services, it does not guarantee the quality, safety, availability, or performance of any accommodations, flights, transportation, excursions, events, or activities arranged through third-party Suppliers.

    This section shall survive the completion, termination, or cancellation of the trip or this Agreement and applies to all claims, whether in contract, tort, negligence, strict liability, or otherwise.

  • Seller of Travel Disclosure. The Agency complies with all applicable federal and state laws governing the sale of travel services. Certain states within the United States require travel agencies to register as Sellers of Travel and to maintain trust accounts, bonds, or other consumer protection measures.

    If the Agency is located in or selling to residents of a regulated state, it shall display its active registration number(s) and related disclosures here:

    • California Seller of Travel Registration No.: CST 2063352-70

    • (California law requires registration as a Seller of Travel. Registration as a Seller of Travel does not constitute approval by the State of California. The Agency is not a participant in the California Travel Consumer Restitution Fund unless otherwise stated.)

    • Florida Seller of Travel Registration No.: STE38939

    Travelers acknowledge that Seller of Travel laws are designed to protect consumers and ensure accountability in travel transactions. If the Agency is not required to maintain a Seller of Travel registration in its jurisdiction, it nonetheless agrees to operate in accordance with fair business practices, to maintain proper recordkeeping, and to comply with all applicable consumer protection laws.

    The Agency makes no representations regarding the licensing or registration requirements of Suppliers outside of the United States. Travelers booking international services understand that Supplier operations abroad may not be subject to the same consumer protection standards as those in the U.S.

  • Trust Account Disclosure. The Agency maintains a designated client trust account for the deposit and disbursement of customer payments, in compliance with applicable Seller of Travel laws and consumer protection regulations. All customer funds received for travel services are held in this account until payment is made to the appropriate Suppliers or until services are provided, in accordance with the requirements of the state(s) in which the Agency is registered.

    The trust account is maintained at a federally insured financial institution and is used solely for client transactions related to travel services. Funds in this account are not commingled with the Agency’s operating funds, except as permitted by law.

    In the event of Supplier default or failure to provide contracted services, the Agency will make reasonable efforts to assist Travelers in recovering eligible funds from the trust account or from any applicable Seller of Travel restitution fund or bond. However, the Agency does not guarantee reimbursement beyond amounts actually recoverable from Suppliers, insurers, or relevant state protection programs.
